Power of Attorney

I, Mr. XXX, the legal representative of YYY Corporation with its registered address at ZZZ, do hereby appoint Mr. AAA of BBB Law Firm, and other attorneys at law appointed by Mr. AAA, as our true and lawful attorney(s) to represent us in all legal proceedings in the course of any and all litigations (including the first instance and the second instance thereof) or arbitration arising out of or relating to the disputes in any Chinese court or arbitration organization in which such litigation may be heard:

1. to defend and/or file counterclaims on behalf of YYY against those parties in respect of any and all matters arising out of or in relation to the disputes in any Chinese court or arbitration organization in which such litigation may be brought;

2. to appeal on behalf of YYY for the purpose of filing and/or arguing against applications, motions, objections, or appeals in any Chinese court or arbitration organization in which such applications, motions, objections, or appeals may be filed and/or argued;

3. if necessary, to apply to any competent Chinese court or arbitration organization for property and evidence preservation and enforcement thereof on behalf of YYY; and

4. to admit, waive and change the prayers of the lawsuit, and make compromise and conciliation with those parties involved in the legal proceedings on behalf of YYY in any Chinese court or arbitration organization.

We hereby ratify and confirm all that the appointed attorney shall lawfully do or cause to be done within limits of the powers and authorities granted to him herein.
